Terms and Conditions
These Standard Terms and Conditions (hereinafter referred to as “Terms”) outline the agreement between Pacific Quality Infrustructure (hereinafter referred to as “Provider”) and the user (hereinafter referred to as “User” or “You”) for the use of the modern PQI Document Management System (DMS) provided by the Provider. By accessing and using the DMS, you agree to be bound by these Terms.
1. Access and Use of the DMS: 1.1 The Provider grants the User a non-exclusive, non-transferable license to access and use the DMS solely for the User’s internal business purposes. 1.2 User agrees not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the DMS or any related software. 1.3 User is responsible for maintaining the confidentiality of their login credentials and for any activities that occur under their account.
2. Data Security and Privacy: 2.1 The Provider will take reasonable measures to protect the security and privacy of User data within the DMS. 2.2 User agrees not to upload, store, or share any sensitive, confidential, or personal information within the DMS without proper encryption and access controls. 2.3 Provider may collect and process User data as described in the Privacy Policy, which is an integral part of these Terms.
3. Intellectual Property: 3.1 All intellectual property rights in the DMS, including but not limited to software, trademarks, and documentation, are owned by the Provider. 3.2 User retains ownership of any data, content, or information uploaded to the DMS. By uploading content, User grants Provider a limited license to use, store, and manage the data for the purpose of providing the DMS services.
4. Support and Maintenance: 4.1 Provider will provide reasonable technical support and maintenance for the DMS during the term of this agreement. 4.2 User agrees to promptly report any issues or concerns related to the DMS to Provider’s support team.
5. Payment and Subscription: 5.1 The use of the DMS may require payment based on the chosen subscription plan. 5.2 User agrees to pay all fees associated with the selected subscription plan in a timely manner. 5.3 Provider reserves the right to modify subscription fees and plans with prior notice.
6. Termination: 6.1 Either party may terminate this agreement at any time with prior written notice. 6.2 Upon termination, User’s access to the DMS will be revoked, and any outstanding fees shall be paid by User.
7. Limitation of Liability: 7.1 The DMS is provided “as is” without any warranties or representations, express or implied. 7.2 Provider shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the DMS.
8. Governing Law and Jurisdiction: 8.1 These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflicts of law principles. 8.2 Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in [Jurisdiction].
By accessing and using the DMS, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you must not use the DMS.
